Welcome to ACTIVATE!

Before your fun begins, please carefully read our Terms and Conditions ("Terms and Conditions" or "Agreement"), which govern all other matters related to the particular ACTIVATE location that you are signing up to play at, and ensure you understand and agree to them before playing. They consist of:

The Release and Waiver of Liability and Indemnification Agreement (the "Waiver")
The Applicable Privacy Policy for where you reside (the "Privacy Policy")
Supplemental Terms and Conditions for the following ACTIVATE programs (the "Supplemental Terms"):
- ACTIVATE NEXT LEVEL REWARDS PROGRAM, in which all players can automatically participate
- ACTIVATE TOURNAMENT OF CHAMPIONS, an invitation-only event for qualifying players that register to participate
- ACTIVATE GLOBAL LEAGUE, a team-based competition that requires registration

This Agreement is an important binding legal agreement with Activate Games Inc., and its affiliates, collaborators and licensees, including Activate Games Stores Inc., Activate Games Manufacturing Inc., and the entity that operates the ACTIVATE facility you are signing up to play at (together "ACTIVATE", "we", "us", etc.). It is important that you understand that you irrevocably agree that, in the event of a dispute, you must first aim to resolve the matter directly with the entity that operates the ACTIVATE location you attended, and that no remedies may be available from any other ACTIVATE entities.

By playing at ACTIVATE, you are agreeing to these Terms and Conditions, which include releasing ACTIVATE and others from liability and giving up certain rights in favour of ACTIVATE and others, as well as agreeing to abide by the rules of play at ACTIVATE, along with all other terms and conditions set out in the Terms and Conditions. If you do not agree to our Terms and Conditions, let us know your concerns, and do not use our facilities unless we address your concerns such that you are able to agree to our Terms and Conditions, or otherwise, come to an alternate Agreement with you.

PLEASE NOTE that our Terms and Conditions may have been updated since you last visited. They are available on our website, and you will also be sent an email with a link to them. Please check back for updates before your next visit and bookmark our Terms and Conditions at Playactivate.com/terms. ACTIVATE reserves the right to amend or update these Terms and Conditions at any time, and to restrict, suspend, or modify its facilities, games and activities, including its programs, at any time, at its sole and absolute discretion. In the event of any conflict between the current version of the Terms and Conditions published on our website, and information provided elsewhere, the current Terms and Conditions on our website will govern and prevail.

Before playing at ACTIVATE, all players under the age of majority require their parent or legal guardian to read, understand and agree to these Terms and Conditions on the player's behalf.

You MUST be the Parent or Legal Guardian to sign for a minor and be authorized by all other parents and guardians of the player to sign.

We reserve the right to review your ID to verify your identity and age.

III. Supplemental Terms and Conditions for ACTIVATE programs

ACTIVATE NEXT LEVEL REWARDS PROGRAM Supplemental Terms and Conditions – LAST UPDATED: January 30, 2026

Welcome to the ACTIVATE Next Level Rewards Program (or "Rewards Program")! The ACTIVATE Next Level Rewards Program is intended solely for entertainment purposes to enhance the fun of the ACTIVATE experience. Our Rewards Program allows players to earn ACTIVATE Coins by participating in various activities, including playing ACTIVATE games, which can be redeemed for merchandise, benefits, or other rewards. Each time you play at a participating ACTIVATE location, you are automatically participating in our Rewards Program through your player profile. If you choose to take advantage of the Rewards Program, you hereby agree to the most updated version of these Supplemental Terms and Conditions, including with respect to ACTIVATE points, Coins, Ranks, and other rewards, and redeeming for reward items.

These Terms and Conditions govern the ACTIVATE Next Level Rewards Program provided to players. Please check back for updates and bookmark our Terms and Conditions at Playactivate.com/terms. You also agree to ACTIVATE's Waiver, the applicable Privacy Policy for where you reside, and other terms and policies, which are incorporated into and form part of these Terms and Conditions. In the event of any conflict between these Terms and Conditions regarding the ACTIVATE Next Level Rewards Program, and information provided elsewhere (including but not limited to advertising or marketing materials), these Terms and Conditions will govern and prevail in all matters connected to the ACTIVATE Next Level Rewards Program unless ACTIVATE determines otherwise.

By participating in the ACTIVATE Next Level Rewards Program, you acknowledge and agree that the Rewards Program is a loyalty program and not a sweepstakes, lottery, or contest. No additional consideration is required or provided in exchange for the opportunity to earn Coins, Points, Rank Ups, or other rewards. Participation in the Rewards Program is entirely voluntary and is separate from your use of ACTIVATE facilities.

IF YOU DO NOT AGREE TO THESE SUPPLEMENTAL TERMS AND CONDITIONS, YOU CAN CONTINUE TO ENJOY ACTIVATE FACILITIES WITHOUT TAKING ADVANTAGE OF THE ACTIVATE NEXT LEVEL REWARDS PROGRAM.

Reminder! Players under the age of majority where they reside must have the consent of their parent or guardian to create their player profile and play at any ACTIVATE location.

ACTIVATE's Points and Coin System:

To enhance the fun of the ACTIVATE experience, each time you play at a participating ACTIVATE location, you automatically participate in the ACTIVATE Next Level Rewards Program through your player profile. Players are eligible to be awarded ACTIVATE points and Coins, and to redeem Coins towards reward items at an ACTIVATE Next Level Rewards Shop. Your participation will be linked to your ACTIVATE player profile, and points, Coins and rewards collected will be restricted to the player profile you use when you play.

Before playing any ACTIVATE game, check to ensure your temporary or personal wristband is connected to your ACTIVATE player profile, then scan your wristband prior to entering the game room. The wristband tracks your performance and achievements during the game, including points you earn and games you win, and links them to your player profile.

Reminder! ACTIVATE player profiles are unique. If you want to take advantage of the ACTIVATE Next Level Rewards Program, it is important to ensure you confirm you signed in through the correct player profile before you play every game.

Coins may be awarded through successful game completions, irrespective of the number of points earned in that game. Successful game completions include plays of competitive mode games and wins of cooperative mode games. One Coin is awarded to each player upon each instance of either of these outcomes.

Bonus Coins may also be awarded each time you Rank Up. When you Rank Up at an ACTIVATE location, you have the opportunity to spin the wheel during your visit, or when you next visit to any ACTIVATE location. The number of bonus Coins you may collect when you Rank Up depends on where the wheel lands, and ranges from 5 to 100 Coins. Odds for different Coin ranges vary.

Ranks are determined by the total number of points you collect as reflected on the leaderboard. A total of 25,000 points on the leaderboard is needed to move up a Rank. For example, 25,000 points on the leaderboard are required to achieve Rank 1; 50,000 points are required to achieve Rank 2; and so on. The total number of points available to be collected in a level or game depends on its level of difficulty. The higher the level, the more points there are available. This means you have the opportunity to Rank Up faster when you play higher level games. IMPORTANT! Only points that appear on a player's leaderboard at an ACTIVATE location count towards Ranks, and points that are scored by repeating levels in a game do not qualify (and do not appear on the leaderboard). Points awarded to players may vary at different ACTIVATE locations. Therefore, a player's points score and Rank at one ACTIVATE location may be higher or lower than at another ACTIVATE location.

Bonus Coins may also be awarded to players who are signed up for ACTIVATE marketing communications through exclusive reward or promotional mechanisms which may vary from time to time.

Coins, points, Rank Ups, and any other rewards or benefits earned through the ACTIVATE Next Level Rewards Program are personal to the individual player account that earned them and may not be transferred, assigned, pooled, gifted, shared, sold, or combined with Coins, points, Rank Ups, or rewards earned by any other player or account. Rewards may be redeemed only by the player account that earned them, subject to these Supplemental Terms and Conditions.

Participation in any game, activity, or program at ACTIVATE does not guarantee the earning of any Coins, points, Rank Ups, rewards, or other benefits. The availability and earning of Coins and other rewards may vary by game, activity, location, time, and player performance, and are subject to the sole and absolute discretion of ACTIVATE.

Redeeming Coins:

Coins are saved on ACTIVATE player profiles and can be redeemed towards reward items in ACTIVATE Next Level Rewards Shops found in participating ACTIVATE locations by the respective player.

Coins may only be redeemed for items in ACTIVATE Next Level Rewards Program Shops during or following a gaming session. The redemption process requires the scanning of the player's wristband on a Score Checker at an ACTIVATE location to verify their Coins total and may involve use of a wall-mounted screen to select from eligible reward items. This screen will display available rewards and their associated Coin value for that location. The Coin values for reward items may vary, including at different ACTIVATE locations.

Reward items are available while quantities last. Some reward items may occasionally be out of stock, and the availability of reward items fluctuates. ACTIVATE reserves the right to add or remove available reward items and to change their corresponding Coin values at its sole and absolute discretion, at any time, and without notice.

Some Rewards are only available to players of a certain Rank. As the points score and Rank at one ACTIVATE location may differ from that at another ACTIVATE location, a player's Rank, and the Rewards available to them, may differ from location to location.

Players may experience a delay in adjustments to their ACTIVATE player profile upon redemption of Coins for reward items. These adjustments can take up to three (3) business days or longer to be reflected on ACTIVATE player profiles.

Once the player selects a reward item on the display screen of a Score Checker, the applicable number of Coins is removed from that player's ACTIVATE player profile and put on hold, and the reward can be picked up before the player leaves the ACTIVATE location. In some cases, typically higher value or rare rewards, will require pickup at a future date as set out by ACTIVATE. If the player claims the reward item from the ACTIVATE Next Level Rewards Program Shop before they leave, the held Coins are deducted from that player's ACTIVATE player profile. If the player does not claim the reward before they leave, the held Coins may be returned to the player's ACTIVATE player profile at ACTIVATE's sole and absolute discretion.

On the day the player selects a reward item, redemption of Coins for a reward item may be reversible up to the point that a player claims the reward item from the ACTIVATE Next Level Rewards Program Shop. Once a reward item has been selected and claimed from the front desk, it cannot be returned, and Coins cannot be replaced. Players should ensure they are redeeming their Coins for the reward item they want.

When a player selects a reward item from a Score Checker, the Coins redeemed will be held and inaccessible except to redeem for the selected reward item. This may remain in effect until the facility reopens the following business day, or until the player requests the hold be removed by the ACTIVATE team at the front desk of the ACTIVATE location where they selected the reward item. Players should avoid making erroneous selections in the Score Checker until they are certain they want to redeem Coins for a reward. A reward item selected in the Score Checker reserves those Coins for that item and the Coins cannot be released for use on a different reward item until the hold expires after the facility is shut down for the night, unless the player requests the hold be reversed and the ACTIVATE team agrees to attend to the reversal.

ACTIVATE reserves the right to set and modify Coin values for various rewards at any time, including assigning different Coin values to reward items at different ACTIVATE locations, at its sole and absolute discretion. Each Coin is valid for redemption one time only towards reward items in the ACTIVATE Next Level Rewards Shop at the then stated Coin value unless/until Coins are revoked, deemed void, and/or forfeited. Once redeemed, Coins are non-refundable and are not re-redeemable. Previously redeemed Coins are not valid. Other restrictions, exclusions or limitations may apply. Coins have no merchantable or cash value, are not equivalent to cash, are non-transferable among player profiles or otherwise, and cannot be sold, traded or purchased. Coins also cannot be "withdrawn" from a player profile, nor can they be gifted or shared; they may only be used at ACTIVATE Next Level Rewards Program Shops for redemption towards eligible reward items.

Accuracy:

Coins, points, Ranks, and Badges are linked solely to a player's ACTIVATE player profile. ACTIVATE player profiles should stand in a player's name, using their true and accurate information, and may not be shared.

Coins earned will appear on the player's ACTIVATE player profile during their gaming session or shortly after their gaming session has ended. ACTIVATE will make efforts to ensure Coins on ACTIVATE player profiles are accurate and up to date. While we do our best to ensure ACTIVATE player profiles are current and updated as games are played, there may be a delay on the accrual of Coins that will not be displayed on ACTIVATE player profiles immediately. If you notice a delay, please immediately notify the ACTIVATE team at the front desk at that ACTIVATE location.

Disqualifying Players, Revoked Coins, etc.:

Coins are the property of ACTIVATE and may be revoked at any time by ACTIVATE without notice and at its sole and absolute discretion in the event of a breach of these Terms and Conditions by a player, misuse or abuse of the ACTIVATE Next Level Rewards Program by a player, fraud, and/or any other actions deemed by ACTIVATE, in its sole and absolute discretion, to be contrary to the ACTIVATE Next Level Rewards Program or the interests of ACTIVATE or players. In the event that your participation in the ACTIVATE Next Level Rewards Program is cancelled, all accumulated points, Coins, Ranks, and Badges in your ACTIVATE player profile may be forfeited, deemed void and revoked.

By way of example only, ACTIVATE reserves the right, in its sole and absolute discretion, to disqualify any player or suspend or revoke the player's account, or revoke, adjust or otherwise vary points and/or Coins awarded to that player profile, should it be determined in its sole and absolute discretion that points and/or Coins were awarded to someone who tampered with the process to collect points and/or Coins, or who otherwise was acting in an unsportsmanlike or disruptive manner, or otherwise was attempting to undermine the legitimate operation of ACTIVATE's Rewards Program. Without limiting the generality of the foregoing, should ACTIVATE determine in its sole and absolute discretion that points and/or Coins were earned with malintent, or though immoral or unintended means, ACTIVATE may make adjustments to a player's points and/or Coins quantities at its sole and absolute discretion and without notice, and further action may be taken, up to and including termination of a player's ACTIVATE player profile for continued bad faith redemption practices, which will result in cancellation of the player's participation in the ACTIVATE Next Level Rewards Program.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE ACTIVATE NEXT LEVEL REWARDS PROGRAM MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ACTIVATE RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW, AND TO BAN OR DISQUALIFY AN ENTRANT FROM THIS AND FUTURE PROGRAMS.

Dormant Accounts, Expiry, etc.:

Coins do not expire from an active ACTIVATE player profile unless the ACTIVATE Next Level Rewards Program is discontinued. An active ACTIVATE player profile means an account where a player has earned or redeemed Coins at least once within the last 24 months. If an ACTIVATE player profile is dormant for a period of 24 months and does not action any earning or redemption of Coins, any Coins may be removed from the account permanently. In such cases, notice may be provided to the player approximately 30 days in advance, to the email address they provided for their ACTIVATE player profile, advising them that their account will be disabled, and their Coins permanently revoked, and indicating the effective date of the change.

Verification:

Theft prevention is very important to ACTIVATE. Coins are stored on ACTIVATE player profiles. It is of utmost importance that only the player associated with the ACTIVATE player profile be the only person redeeming Coins from that player profile. As such, ACTIVATE reserves the right to require verification of any and all ACTIVATE player profiles at any time, and to prescribe and limit how verification may be provided, at its sole and absolute discretion. ACTIVATE player profiles with more than 999 Coins, or that are used to redeem large numbers of Coins in a short period of time, may have to undergo a separate verification process, and the player profile may remain locked until verification is complete. If an ACTIVATE player profile is locked for verification purposes, it cannot be reversed, undone, or worked around. It is the player's responsibility to ensure they have access to their emails or phones for the purpose of verification in the event that verification by email or phone is required. ACTIVATE will in no way be responsible for and does not guarantee replacement of Coins redeemed in contravention of these Terms and Conditions.

Modification or Termination of the Program:

ACTIVATE has discretion over the ACTIVATE Next Level Rewards Program, and all decisions of ACTIVATE relating to the Rewards Program are final and binding, without right of appeal, including with respect to points, Coins, Badges, Ranks, the availability and redemption of reward items.

ACTIVATE MAY TERMINATE, CANCEL, SUSPEND OR MODIFY THE ACTIVATE NEXT LEVEL REWARDS PROGRAM AT ANY TIME, FOR ANY REASON, AT ITS SOLE AND ABSOLUTE DISCRETION, INCLUDING, BUT NOT LIMITED TO, MODIFYING THE NATURE OF THE PROGRAM, THE REWARDS, POINTS AND/OR COINS AVAILABLE TO PLAYERS, THE NUMBER OF COINS REQUIRED TO REDEEM FOR ANY PARTICULAR REWARD, AND BY SWAPPING OUT ANY REWARDS PROGRAM BENEFITS THAT YOU MAY HAVE ACHIEVED OR BEEN AWARDED TO DATE. The ACTIVATE Next Level Rewards Program will continue to be offered until ACTIVATE determines otherwise. In the event that ACTIVATE terminates the ACTIVATE Next Level Rewards Program, ACTIVATE will notify players of this change and any ways to redeem existing Coins should redemption be permitted. Notice of cancellation will be provided approximately 30 days before it takes effect and will specify the date the cancellation will come into effect.

Players may be notified of any material changes via email at the email address associated with their ACTIVATE player profile. Material changes include changes to the structure of the ACTIVATE Next Level Rewards Program and benefits. Material amendments or changes shall take effect at the date indicated in the notice.

Intellectual Property:

By participating in the ACTIVATE Next Level Rewards Program, players acknowledge and agree that ACTIVATE owns all right, title and interest in and to the ACTIVATE Next Level Rewards Program, games, activities, website (www.playactivate.com), content contained on such website, etc., and all intellectual property rights in or related to any of the foregoing, and agrees not to contest or challenge any of the foregoing or ACTIVATE's ownership thereof.

Supplemental Waiver, Disclaimer & Limitation of Liability:

Without limiting any other provision in these Terms and Conditions, including in the Waiver, each player assumes the risk of, and all liability for, any injury, loss or damage caused, or claimed to be caused, by participation in the ACTIVATE Next Level Rewards Program, including the collection and redemption of points and Coins, and the provision, acceptance, use or misuse of any reward item. Further, you agree that ACTIVATE is not responsible for and will not have any liability in connection with any typographical or other error in marketing or other materials related to the Rewards Program, or the administration of the Rewards Program, or the redemption, use or misuse of any reward item. You further agree that ACTIVATE will not have any liability in connection with late, lost, delayed, corrupted or incomplete points, Coins, Badges, or Ranks, the incorrect or inaccurate capture of game wins, points, Coins, or Ranks or any other human, mechanical or technical error of any kind relating to the operation of the Rewards Program.

THIS REWARDS PROGRAM AND ALL POINTS and COINS AND REWARD ITEMS ARE AVAILABLE TO BE awarded "as is", "WHERE IS" and without any REPRESENTATIONS, warranty OR CONDITION, except as required by law. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, USE AND ANy RELIANCE ON THE ACTIVATE NEXT LEVEL REWARDS PROGRAM, INCLUDING ANY REWARD ITEM, IS AT A PLAYER'S OWN RISK. THE ACTIVATE NEXT LEVEL REWARDS PROGRAM AND ALL INFORMATION, CONTENT, MATERIALS AND ITEMS INCLUDED IN OR OTHERWISE MADE AVAILABLE TO THROUGH THE ACTIVATE NEXT LEVEL REWARDS PROGRAM, INCLUDING THROUGH OR WITH AN ACTIVATE PLAYER ACCOUNT OR PROFILE, ARE PROVIDED BY ACTIVATE ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND (OTHER THAN THESE TERMS AND CONDITIONS), WHETHER EXPRESS OR IMPLIED OR ARISING BY STATUTE, USAGE, TRADE, CUSTOM OR OTHERWISE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ACTIVATE EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF OR RELATING TO ACCURACY, COMPLETENESS, ACCESSIBILITY, TITLE, MERCHANTABLE QUALITY, DURABILITY, PERFORMANCE AND FITNESS FOR A PARTICULAR PURPOSE.

WITHOUT LIMITING THE FOREGOING, ACTIVATE WILL NOT BE LIABLE TO ANY PLAYER OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY LOSS OR DAMAGE ARISING FROM, CONNECTED WITH, OR RELATING TO THE ACTIVATE NEXT LEVEL REWARDS PROGRAM, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, USE, REPUTATION OR GOODWILL UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY OF LAW OR EQUITY), OR ANY DAMAGE OR INJURY RELATING TO PARTICIPATION OR ATTEMPTED PARTICIPATION IN the rewards PROGRAM OR ANY REWARD ITEM, REGARDLESS OF ANY NEGLIGENCE OR OTHER FAULT OR WRONGDOING (INCLUDING WITHOUT LIMITATION GROSS NEGLIGENCE AND FUNDAMENTAL BREACH) BY ACTIVATE OR ANY PERSON FOR WHOM ACTIVATE IS RESPONSIBLE, AND EVEN IF ACTIVATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE BEING INCURRED. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ACTIVATE is not responsible or liable for an ACTIVATE player account and/or profile that cannot be verified by the registrant of the account, or for lost or stolen WRISTBANDS, OR INACCURACIES IN POINTS, Coins, BADGES AND RANKS. Also, in the unlikely event ACTIVATE's systems are corrupted, ACTIVATE player accounts and profiles, Coins, points, Ranks and Badges will be deemed void. Unauthorized Coin collection or redemption may constitute fraud and MAY, at ACTIVATE's option and sole AND ABSOLUTE discretion, invalidate Coins.

ACTIVATE shall not be held liable for any injuries, damages, or losses incurred by players while using ANY ACTIVATE facilities or participating in activities OR USE OF REWARD ITEMS. Players are responsible for their own safety and well-being while on ACTIVATE'S facilities AND WITH RESPECT TO REWARD ITEMS.

PLAYERS WHO PARTICIPATE IN THE ACTIVATE NEXT LEVEL REWARDS PROGRAM ARE ENTIRELY RESPONSIBLE FOR KEEPING THEIR ACTIVATE PLAYER ACCOUNT aND PROFILE SECURE.

IF, FOR ANY REASON, THE ACTIVATE NEXT LEVEL REWARDS PROGRAM IS NOT CAPABLE OF RUNNING AS PLANNED, ACTIVATE RESERVES THE RIGHT AT ITS SOLE AND ABSOLUTE DISCRETION TO CANCEL, TERMINATE, MODIFY OR SUSPEND THE REWARDS PROGRAM, AT ANY TIME WITHOUT NOTICE OR OBLIGATION. ACTIVATE RESERVES THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION, TO AMEND OR MODIFY THESE TERMS AND CONDITIONS. ACTIVATE SHALL NOT BE RESPONSIBLE FOR ANY INCORRECT OR INACCURATE INFORMATION, INCLUDING, WITHOUT LIMITATION, ANY TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE ADMINISTRATION OF THE ACTIVATE NEXT LEVEL REWARDS PROGRAM.

Except where prohibited, you agree that any and all disputes, Claims and causes of action arising out of, or connected with, the ACTIVATE Next Level Rewards Program or any reward item shall be resolved individually, without resort to any form of class-action. All parties irrevocably submit to and consent to the exclusive jurisdiction of the courts located in the province of Manitoba, Canada, for any and all causes of action arising out of or connected with the ACTIVATE Next Level Rewards Program. Only in the event that the courts of Manitoba refuse to hear such cause of action, then all parties irrevocably submit to and consent to the exclusive jurisdiction of the state and federal courts located in Delaware, United States, and in any event, without giving effect to any choice of forum or conflict of law rules of any jurisdiction, which would provide another forum with jurisdiction other than those specified herein. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, your rights and obligations, or the rights and obligations of ACTIVATE in connection with the ACTIVATE Next Level Rewards Program, shall be governed by, and construed in accordance with the laws of the province of Manitoba, and the Federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules of any jurisdiction, which would cause the application of the laws of any jurisdiction other than those specified herein.

To the fullest extent permitted by applicable law, by participating or attempting to participate in the ACTIVATE Next Level Rewards Program, you release ACTIVATE, and all others involved in the creation and administration of the Rewards Program from and against any and all claims and causes of action of any kind that you ever had, now have or might in the future have arising out of or relating to the Rewards Program, your participation in the Rewards Program, including the awarding of points, Coins, Badges and Ranks, the provision, acceptance or use of any reward item, including without limitation any and all claims and causes of action: (a) relating to any personal injury, death or property damage or loss sustained by you or any other person, (b) based upon any allegation of violation of the right of privacy or publicity, misappropriation, defamation, or violation of any other personal or proprietary right, (c) based upon any allegation of infringement of copyright, trademark, trade dress, patent, trade secrets, moral rights or any intellectual property right, or (d) based upon any allegation of a violation of the laws, rules or regulations relating to personal information and data security. Each player assumes the risk of, and all liability for, any injury, loss or damage caused, or claimed to be caused, by participation in the ACTIVATE Next Level Rewards Program, including the collection and redemption of points and Coins, and the provision, acceptance or use of any reward item. Further, you agree that we are not responsible for, and will not have any liability in connection with, any typographical or other error in marketing or other materials related to the Rewards Program, or the administration of the Rewards Program, or the redemption or use of any reward item. You further agree that we will not have any liability in connection with late, lost, delayed, corrupted or incomplete points, Coins or Badges, the incorrect or inaccurate capture of game wins, points, or Coins, or any other human, mechanical or technical error of any kind relating to the operation of the Rewards Program.

THE LAWS OF CERTAIN JURISDICTIONS, INCLUDING QUEBEC'S CONSUMER PROTECTION ACT, DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR CONDITIONS OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THIS SECTION MIGHT NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

The ACTIVATE Next Level Rewards Program is void where prohibited by law.

ACTIVATE Tournament of Champions Supplemental Terms and Conditions – LAST UPDATED: JANUARY 30, 2026

ACTIVATE's Tournament of Champions ("TOC") is an exclusive, world-wide, invitation-only, skills-based event organized and operated by ACTIVATE that allows players at participating ACTIVATE locations to compete for the title of "Ultimate Champion", with the opportunity to be awarded prizes.

These Terms and Conditions govern the ACTIVATE Tournament of Champions provided to players. Please check back for updates and bookmark our Terms and Conditions at Playactivate.com/terms. By accepting an invitation to participate in the TOC, you are agreeing to these Terms and Conditions, as well as ACTIVATE's Waiver, the applicable Privacy Policy for where you reside, and other terms and policies, which are incorporated into and form part of these Terms and Conditions. Please carefully read these Terms and Conditions, and all other terms and policies, and ensure you understand and agree to all terms and policies before you choose to participate in the TOC. In the event of any conflict between these Terms and Conditions (including but not limited to advertising or marketing materials), these Terms and Conditions will govern and prevail in all matters connected to TOC unless ACTIVATE determines otherwise.

The opportunity to participate in TOC is provided by ACTIVATE, in its sole and absolute discretion, upon invitation to select players, in accordance with the eligibility requirements below. For the avoidance of doubt, the operation of TOC, including eligibility determinations, determination of scores, determination of winners, and awarding of prizes, is at ACTIVATE's sole and absolute discretion, and by participating, you agree to abide by all decisions made by ACTIVATE in relation to TOC and your participation in the TOC.

PLAYERS MUST MEET ALL ELIGIBILITY REQUIREMENTS TO PARTICIPATE IN THE TOC, and ARE SOLELY RESPONSIBLE FOR ENSURING THEY MEET ALL ELIGIBILITY REQUIREMENTS BEFORE ACCEPTING A TOC INVITATION, OR PARTICIPATING IN A TOC, OR PART THEREOF.

Eligibility Requirements to Participate:

The opportunity to participate in a TOC is available to eligible players at participating locations upon valid registration for a TOC by the deadline noted in the invitation. To participate in a TOC, players must meet all of the following eligibility requirements ("Eligibility Requirements"):

Players must have personally received an invitation from ACTIVATE to participate in a specific, scheduled TOC at a participating ACTIVATE location (a "TOC Invitation"). Invitations will be sent by email to the most recent email in ACTIVATE's system associated with a player profile and indicate the date by which the TOC Invitation must be accepted. ACTIVATE players are solely responsible for monitoring their email and timely responding to TOC Invitations;
At the time of registration, players must be the age of majority where they reside, or have their parent or legal guardian provide consent (the player's "Authorized Authority") authorizing their participation in the TOC for which they are registering;
Players, or their Authorized Authority, must have signed the Waiver;
Players must be a permanent legal resident of the jurisdiction of the participating ACTIVATE location that sent the TOC Invitation at the time of registration and throughout the applicable TOC;
Players must not have accepted a TOC Invitation to participate in a TOC at another ACTIVATE location in the same calendar year. For clarity, players are only permitted to participate in one ACTIVATE location's TOC in a single calendar year. Once a player accepts a TOC Invitation to participate in a TOC at one ACTIVATE location, they are no longer eligible to accept a TOC Invitation to participate in that same TOC through another ACTIVATE location;
Players must not have previously declined the TOC Invitation on which they are relying to participate. For clarity, once a player declines a TOC Invitation related to a specific ACTIVATE location for that year's TOC, the player is no longer eligible to qualify at that location for the remainder of that year's TOC; and,
Players are ineligible if they are a current or past employee, representative, and/or agent of ACTIVATE or its affiliates, subsidiaries, parents, agents or licensees at any time during the Qualifying Period through the end of a TOC.

A player's eligibility will be automatically revoked should they register to participate in a TOC at more than one ACTIVATE location in a single calendar year. Once a player registers to participate in a TOC through an ACTIVATE location, the player is no longer eligible to register for the TOC at any other location for the remainder of the calendar year.

TOC Registration:

To validly register for a TOC players must: (a) meet all Eligibility Requirements; (b) register according to the registration process and by the response date specified in their TOC Invitation; and (c) provide all required information as prescribed in the TOC Invitation.

PLAYERS ARE SOLELY RESPONSIBLE FOR ENSURING THEY MEET ALL ELIGIBILITY REQUIREMENTS BEFORE REGISTERING AND/OR PARTICIPATING IN a TOC, OR PART THEREOF, AND THAT THEY COMPLETE THEIR REGISTRATION FOR the TOC BY THE DEADLINE. ACTIVATE RESERVES THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION, TO VERIFY ELIGIBILITY AT ANY TIME, AND DISQUALIFY ANY PLAYERS THAT ARE DETERMINED TO BE INELIGIBLE, IN ITS SOLE AND ABSOLUTE DISCRETION.

Conduct and Disqualification:

TOC players must be respectful and play with integrity. Players may not act in an unsportsmanlike or disruptive manner. Players must not discriminate against, harass, abuse, threaten, bully, or act with the intent to annoy any other person or show disrespect or violence towards anyone else, including without limitation other participants and ACTIVATE team members. Players must also not attempt to undermine the legitimate operation of a TOC.

ACTIVATE reserves the right in its sole and absolute discretion, to disqualify any player from a TOC, and to revoke and cancel any player's prizes or claims to a prize, for any reason whatsoever at any time. Without limiting the generality of the foregoing, if ACTIVATE determines in its sole and absolute discretion that a player engaged in such unsportsmanlike etc. conduct, ACTIVATE may disqualify that player and their participation in the TOC, terminate the player's account, and revoke any Coins, Badges, scores, prizes or other rewards, and deem scores void. Disqualification will prevent the player from competing in the remainder of the TOC from which they are disqualified. By way of example only, a player's eligibility may be automatically revoked should they do, or attempt to do, any of the following, as determined by ACTIVATE in its sole and absolute discretion: increase their odds of winning, or their placement in any competition during the qualifying period or tournament, through any activities outside of normal game play; increase another player's odds of winning, or their placement in any competition during the qualifying period or tournament, through any activities outside of normal game play; or otherwise engage in cheating tactics.

If a player is disqualified from an ACTIVATE program at any time, including without limitation a TOC, ACTIVATE reserves the sole right and absolute discretion to ban that player from ACTIVATE facilities, or to prohibit that player's participation in any ACTIVATE program at any time.

ACTIVATE employees, representatives and agents may not use ACTIVATE confidential information to participate in a TOC, and should ACTIVATE determine, in its sole and absolute discretion, that confidential information has been used by an employee in a manner that results in an unfair advantage to an ACTIVATE player, ACTIVATE reserves the right in its sole and absolute discretion to disqualify the player and/or take other measures. Please note that such action may also result in disciplinary action against the employee, agent or representative.

Monitoring and Fairness:

Fair Game Rules:

The following Fair Game Rules apply to the TOC, and ACTIVATE reserves the right to set additional rules for the TOC towards fair gameplay during a TOC:

Players must follow the rules of TOC for each game, as well as guidance and direction provided by the ACTIVATE team.
No use of outside tools (such as phones or paper) is permitted during the games.
Players must play the games as originally intended (for example, players are not to climb on the HOOPS platform or throw balls at HOOPS sensors) or otherwise engage in any cheating tactics.
Players must conduct themselves in a sportsmanlike manner throughout the TOC and must remain supportive and respectful toward other TOC players and the ACTIVATE team.
Players must remain in the respective game room for the duration of each game they play during the TOC.
Players must not use exit door areas or other tactics to avoid being sensed by game equipment.
Sharing or discussing content or details about the games at any time during the TOC is strictly forbidden. Players must not share information about game layout or details before, during, or after heats. This includes person-to-person communication and digital communication, including via social media. As games are seeded, sharing information to others would create an unfair advantage to any player that received such information.

Cheating Tactics: Cheating tactics vary from game to game, but a core principle at ACTIVATE is that games should be played as they are designed to be played. By way of example only, actions such as throwing HOOPS balls at sensors, using flashlights in MEGA LASER, or exploiting the exit door as a safe zone in MEGA GRID are considered to be cheating tactics and are not acceptable at any time, including during any phase of a TOC. Players found engaging in cheating tactics at any time during a TOC (including its qualifying period or tournament) may, at ACTIVATE's sole and absolute discretion, be informed of any of the following: that they are automatically disqualified from participating or continuing to participate in the TOC; or that the score they achieved for the level/TOC game they were playing while engaging in cheating tactics is revoked, resulting in a score of 0 for that level attempt/TOC game attempt. If a player has been caught engaging in cheating tactics during the tournament portion of a TOC, ACTIVATE may, in its sole and absolute discretion, provide that player with a second chance to play that game without cheating, but such an opportunity is not guaranteed, nor is the ability for that player to continue playing in the TOC.

Players who participate in any part of the TOC, including a TOC qualifying period, also acknowledge and agree that:

They will abide by all of the fair game rules, and not engage in any cheating tactics;
Qualification for a TOC, eligibility to participate, determination of scores, winners and awarding of prizes is determined by ACTIVATE in its sole and absolute discretion;
ACTIVATE games and the TOC are meant to be fun and entertaining, and while ACTIVATE aims to ensure fairness to every player, mechanical and technical issues may occur that result in a player forfeiting a game or their points ("Failures"), and ACTIVATE is not responsible for Failures, nor is ACTIVATE required to allow a player experiencing a Failure to have another attempt at the game, or part thereof, that they were playing at the time of the Failure, or to award the player with any points in respect thereof; and,
In the event of a dispute, ACTIVATE reserves the right to make a final determination, in its sole and absolute discretion, on any issue related to the TOC, including but not limited to the TOC structure and layout (including but not limited to the games played, and how they are organized, and the scoring of points, determination of winners, and the awarding of prizes, a player's qualification, eligibility, scoring, conduct, and/or their placement and winning of any prize.)

Players who register and participate in a TOC further acknowledge and agree to ACTIVATE monitoring them as they play games in the TOC by watching videos of games being played, and to ACTIVATE reviewing such videos to ensure that all games are played in accordance with the Fair Game Rules, and otherwise in accordance with these Terms and Conditions, and that players have otherwise legitimately achieved their scores during the TOC.

TOC Structure:

Overview: The following outlines the TOC structure, and ACTIVATE reserves the right to amend, modify or alter the structure at any time in its sole and absolute discretion, including to ensure the TOC operates as intended and remains fair and fun.

Each TOC is divided into a "Qualifying Period" (defined below) and a "Tournament" (defined below). Each participating ACTIVATE location hosts its own TOC, crowns its own winners and determines awarding of prizes. The opportunity to participate in a TOC is determined based on the highest-ranking scores achieved at each participating ACTIVATE location during the relevant Qualifying Period. The Tournament portion for each ACTIVATE location's TOC consists of several heats of up to ten (10) players each.

Qualifying Period: A qualifying period for a TOC typically opens on the first day of the year immediately preceding the year on which the TOC is scheduled to occur, and closes on the last day of that same year. For example, the qualifying period for the 2026 TOC opened on January 1st, 2025, and closes on December 31st, 2025 (the "2026 Qualifying Period").

During the Qualifying Period, players may book and play at any participating ACTIVATE location, including with other players, to achieve the best possible score they can on each level at that location. Each participating ACTIVATE location will have an annual leaderboard which displays each players' cumulative scores for that location for the current Qualifying Period. Players scores for a Qualifying Period are determined only from the top scores they achieve for each level they play at a given ACTIVATE location, as determined by ACTIVATE in its sole and absolute discretion. This means there is a maximum score potential based on the facility. For example, if a player plays MEGA ZONES Level 6 twice at the same ACTIVATE location, and earns scores of 6600 and 6700, respectively, only the higher score of 6700 will count towards their total score on the annual leaderboard at that location. If they again play MEGA ZONES Level 6 at that location and achieve a score of 6750, their total score on the annual leaderboard will increase by 50 points (as their new highest score for MEGA ZONES Level 6 at that location is 50 points higher than their former highest score of 6700).

The players determined by ACTIVATE to have the top thirty (30) scores at each participating ACTIVATE location ("Champions") may qualify to play in the TOC at that location. Qualifying for a TOC does not automatically guarantee that a player can participate in a TOC. All players must meet all Eligibility Requirements in order to participate, and otherwise abide by all of these Terms and Conditions.

Invitations and TOC Registration: Once a Qualifying Period for a TOC has ended, invitations to participate in the corresponding Tournament will be extended to the Champions at each participating ACTIVATE location. For example, ACTIVATE will extend TOC Invitations to participate in the 2026 TOC to the Champions at each participating ACTIVATE location following the 2026 Qualifying Period.

Players who are invited to participate in a TOC will receive a TOC Invitation by email from ACTIVATE. The TOC Invitation email will indicate the specific ACTIVATE location the player has qualified to participate at and provide important instructions on next steps, including how to accept the TOC Invitation and the deadline for accepting ("Invitation Response Date"). ACTIVATE is not responsible for any changes to a player's email address or for missed communications, including the failure to receive a TOC Invitation, arising from inaccurate contact information, spam or junk mail filters or otherwise.

A player may qualify at multiple ACTIVATE locations (and therefore may receive more than one TOC Invitation) but may only accept one TOC invitation. Therefore, if a player qualifies for a TOC in multiple ACTIVATE locations, they must select their preferred Tournament location by accepting the TOC Invitation for that location. A player is committed to the first TOC Invitation they accept. If a player accepts more than one TOC Invitation, only the first TOC Invitation they accept will be valid. Any subsequent TOC Invitations accepted by that player will not be considered.

Players who accepted a TOC Invitation to participate in a TOC must complete all the information on the registration page. To be eligible to participate, a player must complete and provide all information to ACTIVATE as in the manner identified (for example, via email, at the specified email address). For example:

Tournament details, including information on how to select the heats the player wishes to compete in ("Heat Notice") and the Tournament layout,
ACTIVATE's Liability Waiver;
Instructions identifying all required information the player must provide to ACTIVATE to participate and complete their registration in the TOC; and
Instructions on how to return all required forms and information to ACTIVATE to complete their registration in the TOC, including the deadline for registration ("Registration Response Date").

If a player does not respond to a TOC Invitation by the Invitation Response Date, or fails to register or provide all required information requested, including completing the registration page by the Registration Response Date, their TOC Invitation will automatically be deemed to be declined. Declining a TOC Invitation to participate at an ACTIVATE location, either directly or indirectly (for example, by not responding to a TOC Invitation by the Invitation Response Date or by not registering or providing required information by the Registration Response Date), may be permanent irreversible. For example, if there is no timely response to a TOC Invitation or a TOC Invitation is expressly declined, another player may be invited to participate in the TOC in lieu at ACTIVATE's sole and absolute discretion.

Reminder! Players must ensure that they meet all Eligibility Requirements before accepting a TOC Invitation and registering for a TOC, as outlined in these Terms and Conditions.

Practice Sessions: Each ACTIVATE location may provide practice sessions for its TOC, at its sole and absolute discretion. Practice sessions will be subject to terms and conditions set by ACTIVATE, and may vary by location.

Tournament: Players will compete in the Tournament portion of the TOC in their designated heat at the ACTIVATE location in which they have qualified and registered. Each player will be scheduled to compete against the other players in their heat in a series of eight (8) different games, as determined by ACTIVATE in its sole and absolute discretion. Two breaks may be provided during the game sets for each heat. Break placement may differ by ACTIVATE location and break timing is subject to change, depending on how the games and heat times progress at each ACTIVATE location. In the event a player does not participate in one or more games in the heat, such game(s) may be deemed forfeited in ACTIVATE's sole and absolute discretion, with the player receiving a score of "0" for such game(s) in the heat.

The TOC uses a pre-selected list of games for each participating ACTIVATE location. Please note that the games list for the TOC at participating locations will be revealed on or around March 3, 2026, and ACTIVATE reserves the right to change, alter, update, or remove games from the list in its sole and absolute discretion. Generally, the list varies slightly from location to location based on what games are available, but the games are intended to be generally similar in difficulty from location to location, and all heats at a participating ACTIVATE location will compete in the same eight (8) games during the Tournament. To keep things exciting, ACTIVATE typically changes the game lineup for TOC each year.

Heat Registration: On the day of the Tournament, players who have qualified and registered for a TOC will arrive at the specific ACTIVATE location they are participating at to register for their heat, as indicated in their Registration Completion Notice (i.e. the confirmation email that confirms the player is registered for the TOC). Each heat will have a designated registration time and a designated start time for its first game (provided in the Registration Completion Notice). Registration for each heat opens thirty (30) minutes before the scheduled start time of that heat's first game and closes five (5) minutes before ("Registration Period"). Players must register during the Registration Period for their heat in order to participate in the Tournament. Failure to register during the Registration Period for a player's heat may result in automatic disqualification from the Tournament, as determined by ACTIVATE in its sole and absolute discretion.

Scoring: Scoring for TOC may differ from regular ACTIVATE scoring, and will be determined in ACTIVATE's sole and absolute discretion. For example, TOC scoring may be scaled for solo or individual play, and there may be variations to how scores are awarded from normal ACTIVATE game play. By way of example, in the TOC, players will not receive level bonuses that are received in regular ACTIVATE gameplay. The ACTIVATE team will go over the order of games before a heat begins, and players will be notified of their starting game during their onsite registration before their heat. ACTIVATE reserves the right to require and/or permit replays in its sole and absolute discretion.

Players are encouraged to wait at the ACTIVATE location they are participating at for the results of their Tournament, but may leave and return closer to the scheduled start time of the Awards Ceremony. Players do not need to be present at the Award Ceremony to collect a prize, if they are awarded with one in the TOC.

Winners: Once all heats at an ACTIVATE location have completed their games, the ACTIVATE team at that location will begin determining winners of its TOC. The ACTIVATE team will determine which players achieved the top three (3) cumulative scores during the TOC, in its sole and absolute discretion, including based on reviewing videos taken of games played to ensure the legitimacy and integrity of the scores each player achieved. Once the ACTIVATE team has validated the scores, it will announce the winners of the TOC.

The players with the top three overall scores at each participating ACTIVATE location will win first, second, and third places, respectively, for that location's TOC, and a corresponding prize. Therefore, even though players compete in heats, all players at a single ACTIVATE location compete against one another in a TOC. Once all heats are completed, results will be announced that night at the relevant ACTIVATE location, with an email confirming the results to follow, and results may also be posted to ACTIVATE's website and/or be posted at participating locations or otherwise publicly announced.

The following prizes are available to be awarded by ACTIVATE for the 2026 TOC:

First Place will win a gift card totalling approximately $1500 in the local currency of the relevant participating ACTIVATE location in which the player participated in the TOC;
Second Place will win a gift card totalling approximately $1000 in the local currency of the relevant participating ACTIVATE location in which the player participated in the TOC;
Third place will win a gift card totalling approximately $500 in the local currency of the relevant participating ACTIVATE location in which the player participated in the TOC.

Each prize will be given out at the specific ACTIVATE location where it was won. Please note that while most paperwork required for participation in a TOC is provided in Registration Page, winners will need to complete additional forms relating to prizes before they will be able to collect their prize. See Section 6 of these Terms and Conditions, namely "Winner Selection and Confirmation", for more details.

Please also note that in some countries, tournament and competition winnings are subject to tax. By participating, Players understand and agree that if they are playing in such a country, any prize they win in the TOC may be subject to tax, and they may be required to pay such tax and complete associated documentation before being able to collect their prize. Players playing in a country where winnings are subject to tax represent and warrant that: (a) they are solely responsible for (i) the payment of any and all applicable taxes incurred with winning a prize in the TOC, including where such taxes must be paid prior to collection of a prize; and (ii) completing all associated documentation and providing all associated information, where required; they hereby indemnify ACTIVATE and Releasees against any and all claims that may be made for the non-payment of any taxes.

ACTIVATE reserves the right, in its sole and absolute discretion, to change the prizes awarded to players during a TOC, without notice. Please also note that prizes in the form gift cards are subject to the gift card providers' terms and conditions, and gift card activation and/or other service fees may be levied by the gift card provider against the value of the gift card.

Awards Ceremony: Each participating ACTIVATE location will have an awards ceremony for their TOC, where the First, Second and Third place winners will be announced, and Winning players may be listed on the ACTIVATE website and at all participating locations, and they may be identified by their player profile name and given name. Winning players do not have to be present at the Awards Ceremony to collect their prize. Please note that each participating ACTIVATE location may have a TOC trophy on site, and the winning players names may be displayed on the ACTIVATE TOC trophy for that respective participating location.

Winner Selection and Confirmation:

Players eligible to win will be selected by ACTIVATE, in its sole and absolute discretion, based on ACTIVATE's determination of the final cumulative scores in the TOC at each ACTIVATE location, and subject to validation of each winning player's score by ACTIVATE following video review by ACTIVATE.

Each winning TOC player will be notified by email the evening of the TOC in which they participated, and within five (5) business days of the close of the TOC at the latest, via the email address associated with their player profile. Each prize will be given out at the specific ACTIVATE location where the prize was won. If a player fails to collect a prize within thirty (30) days, it will be forfeited. Once a prize has been forfeited, it cannot be claimed by a player. All unclaimed prizes may be donated by ACTIVATE to a local charity selected by the participating ACTIVATE location.

Players will be confirmed that they are a TOC winner if they have signed and returned ACTIVATE's Waiver by the Registration Response Date. By signing these forms, each participant confirms that: (i) they meet all Eligibility Requirements for entering a TOC as described herein and their compliance with these Terms and Conditions; (ii) they agree to accept the prize as offered; and (iii) they agree that they are providing a full and final release of ACTIVATE and Releasees (as defined herein).

Photo, Video and Appearance Release:

ACTIVATE may use and display the player profile names participating in a TOC, as well as photos and videos featuring participating players, including, without limitation, interviews featuring such players taken prior to, during, and after the TOC (or an individual TOC) commences, for promotional and marketing purposes. Such promotion may be, but is not limited to, ACTIVATE's public displays in participating locations and on its social media pages. By participating in the ACTIVATE TOC, or any part thereof, you consent to such use and display. The release, and right to use, names of players, and photos and videos featuring players, is without financial compensation to participants in the TOC. Players do not have a right to, and expressly waive any right to, review or approve any uses of the names of teams and players, and photos and videos.

Players are solely responsible for ensuring their given name and contact information associated with their player profile is accurate and up to date. ACTIVATE is not responsible for any changes to a player's information, including their email address, mailing address and/or telephone number, or for missed communications arising from inaccurate contact information. ACTIVATE is not responsible for any inaccurate capture of player information. All TOC related information becomes the property of ACTIVATE and no TOC related information will be returned to players. ACTIVATE has no responsibility for lost information or for any failure of the ACTIVATE app or website, for any problems or technical malfunction of any computer network, telephone network or lines, computer systems, servers, access providers, computer equipment, gaming equipment, software, failure of any email or other information to be received by ACTIVATE, or any combination thereof. ACTIVATE is not responsible if a player is unable to access any app or website, computer or other device.

If the identity of a participant is disputed, the entry will be deemed to have been submitted by the individual assigned to the email address associated with the relevant player profile ("Authorized Account Holder"). Each participant may be required to provide proof that he/she is the Authorized Account Holder associated with a player profile, at ACTIVATE's sole and absolute discretion. Any prize inadvertently awarded to a participant or team who ought to have been disqualified by these Terms may be reclaimed by ACTIVATE.

SUPPLEMENTAL WAIVER, RELEASE & LIMITATION OF LIABILITY:

To the fullest extent permitted by applicable law, all TOC players, on behalf of themselves and any minor that accompanies them to an ACTIVATE facility, and their respective heirs ("Releasors") RELEASE, WAIVE, RELINQUISH, ACQUIT, FOREVER DISCHARGE, COVENANT NOT TO SUE AND TO HOLD HARMLESS ACTIVATE and all their respective shareholders, affiliates, subsidiaries and affiliated businesses and locations, together with their administrators, successors, assigns, representatives, agents, agencies, designees, officers, directors, employees, partners, suppliers and insurers ("Releasees") from and against any and all demands, claims, liabilities, damages or cause of action of any kind, that players ever had, now have or might in future have ("Claims"), arising out of, or in connection with participation, attempted participation or inability to participate in a TOC, the administration of a TOC, their use of an ACTIVATE facility, the selection and confirmation of winners, and the awarding, or receipt, or use, misuse of, or inability to use any prize, including, without limitation any and all Claims: (a) relating to any personal injury, death or property damage or loss, (b) based upon any allegation of violation of the right of privacy or publicity, misappropriation, defamation, or violation of any other personal or proprietary right, including without limitation, relating to the use of names of, and photos and videos featuring players (c) based upon any allegation of infringement of copyright, trademark, trade dress, patent, trade secrets, moral rights or any intellectual property right, (d) based upon any allegation of a violation of the laws, rules or regulations relating to personal information and data security; (e) unauthorized human or other intervention in a TOC, technical failures, problems or errors, inaccurate or incorrect capture of information, including with respect to scores, or other errors in the administration of a TOC, TOC materials, and the selection and confirmation of winners; and the foregoing is notwithstanding that any such loss, injury, damage, death or inconvenience may have arisen by reason of the actions, omissions, breaches of any duty or other duty of care (including owing under any applicable occupiers/premises liability legislation), negligence or gross negligence of ACTIVATE, a player, or any others.

THE TOC AND ALL PRIZES AVAILABLE TO BE awarded ARE "as is", "WHERE IS" and without any REPRESENTATIONS, warranty OR CONDITION, except as required by law. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, USE AND ANy RELIANCE ON THE TOC, INCLUDING ANY PRIZE, IS AT A PLAYER'S OWN RISK. THE ACTIVATE TOC AND ALL INFORMATION, CONTENT, MATERIALS AND PRIZE INCLUDED IN OR OTHERWISE MADE AVAILABLE THROUGH THE TOC, INCLUDING THROUGH OR WITH AN ACTIVATE PLAYER ACCOUNT OR PROFILE, ARE PROVIDED BY ACTIVATE ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND (OTHER THAN THESE TERMS AND CONDITIONS), WHETHER EXPRESS OR IMPLIED OR ARISING BY STATUTE, USAGE, TRADE, CUSTOM OR OTHERWISE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ACTIVATE EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF OR RELATING TO ACCURACY, COMPLETENESS, ACCESSIBILITY, TITLE, MERCHANTABLE QUALITY, DURABILITY, PERFORMANCE AND FITNESS FOR A PARTICULAR PURPOSE.

WITHOUT LIMITING THE FOREGOING, ACTIVATE WILL not be held liable for any injuries, damages, or losses SUFFERED OR incurred by players RELATING OR IN ANY WAY CONNECTED TO THE TOC. Players are responsible for their own safety and well-being while In ACTIVATE'S facilities. ACTIVATE WILL NOT BE LIABLE TO ANY PLAYER OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY LOSS OR DAMAGE ARISING FROM, CONNECTED WITH, OR RELATING TO PARTICIPATION OR THE INABILITY TO PARTICIPATE IN A TOC, THE USE OR MISUSE OF, OR INABILITY TO ACCESS OR USE AN ACTIVATE FACILITY, OR ANY ACT OR OMISSION ON PART OF ACTIVATE, INCLUDING fOR ANY HARM, INCLUDING DEATH, HARM TO PERSONS, PROPERTY, REPUTATION OR GOODWILL, AS WELL AS LOSS OF DATA, UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY OF LAW OR EQUITY), REGARDLESS OF ANY NEGLIGENCE OR OTHER FAULT OR WRONGDOING (INCLUDING WITHOUT LIMITATION GROSS NEGLIGENCE AND FUNDAMENTAL BREACH) BY ACTIVATE OR ANY PERSON FOR WHOM ACTIVATE IS RESPONSIBLE, AND EVEN IF ACTIVATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE BEING INCURRED.

Indemnity:

EACH PLAYER EXPRESSLY AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS the Releasees from, against, and for any and all Claims, loss, demands or actions that may be brought by any of the Releasors or by any other persons arising out of or in consequence of any loss, injury, damage, death or inconvenience to person or property incurred by or in association with a Releasor's attending of an ACTIVATE facility or participating in the ACTIVATE games and activities, including programs such as the TOC. Each player further EXPRESSLY AGREES TO REIMBURSE AND TO MAKE GOOD TO ACTIVATE any costs, including legal costs or expenses, ACTIVATE may incur as a result of any such loss, action, claim or demand.

Intellectual Property:

Each participant acknowledges and agrees that ACTIVATE owns all right, title and interest in and to the TOC, games, activities, website (www.playactivate.com), content contained on such website, etc., and all intellectual property rights in or related to any of the foregoing, and agrees not to contest or challenge any of the foregoing or ACTIVATE's ownership thereof.

General Conditions:

By participating in a TOC, each participant: (i) acknowledges they have read and understood these Terms and Conditions, accepts and agrees to be bound by them and all decisions of ACTIVATE, which shall be final and binding, without right of appeal, in all matters relating to a TOC and the awarding of prizes; (ii) represents and warrants they have and will comply with these Terms and Conditions and are eligible to enter the TOC; and (iii) represents and warrants that there is no legal or contractual restriction barring participation, including, without limitation, any restriction from a participant's employer or company.

IF, FOR ANY REASON, TOC IS NOT CAPABLE OF RUNNING AS PLANNED, ACTIVATE RESERVES THE RIGHT AT ITS SOLE AND ABSOLUTE DISCRETION TO CANCEL, TERMINATE, MODIFY OR SUSPEND A TOC, INCLUDING ANY GAME, OR ANY ROUND, QUALIFYING PERIOD OR TOURNAMENT, AT ANY TIME WITHOUT NOTICE OR OBLIGATION. ACTIVATE RESERVES THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION, TO AMEND OR MODIFY THESE TERMS AND CONDITIONS. ACTIVATE SHALL NOT BE RESPONSIBLE FOR ANY INCORRECT OR INACCURATE INFORMATION, INCLUDING, WITHOUT LIMITATION, ANY TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE ADMINISTRATION OF A TOC AND OR AWARDING OF A PRIZE.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF A TOC MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ACTIVATE RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW, AND TO BAN OR DISQUALIFY AN ENTRANT FROM THIS AND FUTURE PROGRAMS.

Except where prohibited, you agree that any and all disputes, Claims and causes of action arising out of, or connected with, a TOC or any prize awarded shall be resolved individually, without resort to any form of class-action. All parties irrevocably submit to and consent to the exclusive jurisdiction of the courts located in the province of Manitoba, Canada, for any and all causes of action arising out of or connected with a TOC or any prize awarded. Only in the event that the courts of Manitoba refuse to hear such cause of action, then all parties irrevocably submit to and consent to the exclusive jurisdiction of the state and federal courts located in [State], United States, and in any event, without giving effect to any choice of forum or conflict of law rules of any jurisdiction, which would provide another forum with jurisdiction other than those specified herein. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, your rights and obligations, or the rights and obligations of ACTIVATE in connection with a TOC, shall be governed by, and construed in accordance with the laws of the province of Manitoba, and the Federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules of any jurisdiction, which would cause the application of the laws of any jurisdiction other than those specified herein.

TOC is void where prohibited by law.

I confirm that I have read and have had sufficient opportunity to read these entire Terms and Conditions, understand it, and IRREVOCABLY AGREE TO BE BOUND BY IT AND ITS TERMS AND CONDITIONS. I confirm that no oral representations, statements or inducements apart from the above written agreement have been made, and I would not rely on any such representations etc. in any event.

I understand that these Terms and Conditions are read with other ACTIVATE terms and policies, which are incorporated here by reference, and in the event that any term is held to be invalid or unenforceable by any court of competent jurisdiction, all remaining terms shall continue in full force and effect, and any such invalid or unenforceable term(s) shall be substituted by a term of similar intent and scope to the maximum extent permitted by law.

I understand that my participation in the TOC is for my entertainment purposes only and entirely at my risk, without any expectations, including regarding receiving any ranking, reward or prize, and ACTIVATE and the other Releasees' responsibility for anything that happens during the TOC at ACTIVATE facilities is limited as much as the law will allow.

I FULLY UNDERSTAND THAT I HAVE GIVEN UP SUBSTANTIAL LEGAL RIGHTS (FOR ME AND ANY MINORS) BY CONSENTING TO THIS AGREEMENT AND INTEND MY CONSENT TO BE A COMPLETE, IRREVOCABLE AND UNCONDITIONAL RELEASE AND WAIVER OF ALL LIABILITY ON BEHALF OF MYSELF, AND ANY MINOR ATTENDING AN ACTIVATE FACILITY WITH ME OR FOR WHOM I OTHERWISE AM SIGNING, AND OUR RESPECTIVE HEIRS, ASSIGNS, PERSONAL REPRESENTATIVES AND NEXT OF KIN, TO THE GREATEST EXTENT PERMITTED BY LAW.

REMINDER! ONLY PARENTS AND LEGAL GUARDIANS OF MINORS ARE AUTHORIZED TO CONSENT ON A MINOR'S BEHALF. You may consent only for minors for whom you are a parent or legal guardian. By consenting on behalf of a minor, you are representing and warranting you are the parent or legal guardian of that minor, are assuming all responsibility for that minor's use of our facility, and agree to indemnify, defend and hold ACTIVATE harmless, including against claims from that minor and any other parent or legal guardian for that minor.

ACTIVATE GLOBAL LEAGUE Supplemental Terms and Conditions – LAST UPDATED: JANUARY 30, 2026

ACTIVATE GLOBAL LEAGUE ("AGL") is a series of team-based competitions organized and operated by ACTIVATE that allows teams in different participating ACTIVATE locations to compete against each other, with the opportunity to be awarded prizes.

These Terms and Conditions govern the ACTIVATE GLOBAL LEAGUE provided to players. Please check back for updates and bookmark our Terms and Conditions at Playactivate.com/terms.By participating in the AGL, including as a Substitution as defined herein, you are agreeing to these Terms and Conditions, as well as ACTIVATE's Waiver, the applicable Privacy Policy for where you reside, and other terms and policies, which are incorporated into and form part of these Terms and Conditions. Please carefully read these Terms and Conditions, and all other terms and policies, and ensure you understand and agree to all terms and policies before you choose to participate in the AGL. In the event of any conflict between these Terms and Conditions (including but not limited to advertising or marketing materials), these Terms and Conditions will govern and prevail in all matters connected to AGL unless ACTIVATE determines otherwise.

Eligibility Requirements to Participate:

The opportunity to participate in an AGL season is available to eligible players at participating locations, upon valid registration for an AGL season and payment of the registration fee. To participate in AGL, players must meet all of the following eligibility requirements:

At the time of registration, players must be the age of majority where they reside, or or have their parent or legal guardian provide consent (the player's "Authorized Authority") authorizing their participation in the AGL season for which they are registering;
Players, or their Authorized Authority, must have signed and returned the Waiver;
Players must be a permanent legal resident of Canada or the United States at the time of registration and throughout the applicable AGL season;
Per team, a maximum of one (1) player may be an employee, representative, or agent of ACTIVATE or its affiliates, subsidiaries, parents, agents or licensees at the time of registration; other players on the team may not be an employee, representative, or agent of ACTIVATE or its affiliates, subsidiaries, parents, agents or licensees at the time of registration; and,
Players must not already be registered to participate in the same AGL season, as part of another team and/or at another ACTIVATE location. For clarity, players are only eligible to participate at one ACTIVATE location per AGL season, and on one team per AGL season.

A player's eligibility will be automatically revoked should they register to participate as part of more than one team, or at more than one ACTIVATE location in a single AGL season. Once a player registers to participate in the AGL through an ACTIVATE location, the player is no longer eligible to register for the AGL at any other location for that AGL season.

AGL Registration:

To validly register for an AGL season players must: (a) meet all Eligibility Requirements; (b) register a team of three (3) to five (5) eligible players; and (c) register to participate in a specific AGL season through a single authorized ACTIVATE location online at the following link (https://leagues.playactivate.com/en-ca/season/team/register) at any point after the registration window for that season opens, and prior to it closing. Once a player registers to participate through an ACTIVATE location, the player is no longer eligible to register for any other location or team for the remainder of that AGL Season.

PLAYERS ARE SOLELY RESPONSIBLE FOR ENSURING THEY AND ALL THEIR TEAM MEMBERS MEET ALL ELIGIBILITY REQUIREMENTS BEFORE REGISTERING AND/OR PARTICIPATING IN THE AGL, AN AGL SEASON, OR PART THEREOF, AND THAT THEY COMPLETE THEIR REGISTRATION FOR the AGL BY THE DEADLINE. ACTIVATE RESERVES THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION, TO VERIFY ELIGIBILITY AT ANY TIME, AND DISQUALIFY ANY TEAMS WITH PLAYERS THAT ARE DETERMINED TO BE INELIGIBLE.

Substitutions:

Teams may substitute one or more registered players with another player ("Substitution") to play for the team on a particular round during AGL during the first five weeks only, provided there is at least one registered team member playing that day. Substitutions are not considered to be a member of the team. Each Substitution must meet the following eligibility requirements: (a) they must acknowledge and agree to abide by these Supplemental Terms and Conditions, and that they are not a member of the team and do not stand to win or partake in prizes; (b) they must otherwise agree to all other applicable terms and policies, including ACTIVATE's Waiver Playactivate.com/waiver and the applicable Privacy Policy for where the substituted player resides, Playactivate.com/privacy-policy;(c) they must not be registered as part of any other AGL team; (d) if they are an employee, agent or representative of ACTIVATE, they, must be the only team member participating that day that is an employee, agent or representative of ACTIVATE (i.e. they must be the only ACTIVATE employee, agent or representative playing for the team that day).

Conduct & Disqualification:

AGL players must be respectful and play with integrity. Players may not act in an unsportsmanlike or disruptive manner. Players must not discriminate against, harass, abuse, threaten, bully, or act with the intent to annoy any other person or show disrespect or violence towards anyone else, including without limitation other participants and ACTIVATE team members. Players must also not attempt to undermine the legitimate operation of AGL.

ACTIVATE reserves the right in its sole and absolute discretion, to disqualify any player and team from the AGL, and to revoke and cancel any player's prizes or claims to a prize, for any reason whatsoever at any time. Without limiting the generality of the foregoing, if ACTIVATE determines in its sole and absolute discretion that a player engaged in such unsportsmanlike etc. conduct, ACTIVATE may disqualify that player and their team's participation in the AGL season, terminate the player and their team's account, and revoke any Coins, Badges, prizes or other rewards, and deem points void. Disqualification will prevent the player and team from competing in the remainder of an AGL season from which they are disqualified. By way of example only, a player's eligibility may be automatically revoked should they do, or attempt to do, any of the following, as determined by ACTIVATE in its sole and absolute discretion: increase their odds of winning, or their placement in any competition or division, through any activities outside of normal game play; or increase another player or any team's odds of winning, or their placement in any competition or division, through any activities outside of normal game play; or otherwise engage in cheating tactics.

If a player is disqualified from an ACTIVATE program at any time, including without limitation the AGL, ACTIVATE reserves the sole right and absolute discretion to ban that player from ACTIVATE facilities, or to prohibit that player's participation in any ACTIVATE program at any time.

ACTIVATE employees, representatives and agents may not use ACTIVATE confidential information to participate in the AGL, and should ACTIVATE determine, in its sole and absolute discretion, that confidential information has been used by an employee in a manner that results in an unfair advantage to an ACTIVATE team, ACTIVATE reserves the right in its sole and absolute discretion to disqualify the team and/or take other measures. Please note that such action may also result in disciplinary action against the employee, agent or representative.

Monitoring and Fairness:

Fair Game Rules:

The following Fair Game Rules apply to the AGL, and ACTIVATE reserves the right to set additional rules for the AGL towards fair gameplay during an AGL season:

Players must follow the rules of AGL for each game, as well as guidance and direction provided by the ACTIVATE team.
No use of outside tools (such as phones or paper) is permitted during the games.
Players must play the games as originally intended (for example, players are not to climb on the HOOPS platform or throw balls at HOOPS sensors), or otherwise engage in any cheating tactics.
Players must conduct themselves in a sportsmanlike manner throughout the AGL and must remain supportive and respectful toward other AGL players and the ACTIVATE team.
Players must remain in the respective game room for the duration of each game they play during the AGL.
Players must not use exit door areas or other tactics to avoid being sensed by game equipment.

Cheating Tactics: Cheating tactics vary from game to game, but a core principle at ACTIVATE is that games should be played as they are designed to be played. By way of example only, actions such as throwing HOOPS balls at sensors, using flashlights in MEGA LASER, or exploiting the exit door as a safe zone in MEGA GRID are considered to be cheating tactics and are not acceptable at any time, including during the AGL. Players found engaging in cheating tactics at any time during the AGL may, at ACTIVATE's sole and absolute discretion, be informed of any of the following: that they or their team are automatically disqualified from participating or continuing to participate in the AGL; or that the score they achieved for the game they were playing while engaging in cheating tactics is revoked, resulting in a score of 0 for that game attempt. If a player has been caught engaging in cheating tactics, ACTIVATE may, in its sole and absolute discretion, provide that player's team with a second chance to play that game without cheating, but such an opportunity is not guaranteed, nor is the ability for that team to continue playing in the AGL.

Players who participate in any part of the AGL, also acknowledge and agree that:

They will abide by all of the fair game rules, and not engage in any cheating tactics;
All matters related to the AGL, including determination of winners and awarding of prizes is determined by ACTIVATE in its sole and absolute discretion;
ACTIVATE games and the AGL are meant to be fun and entertaining, and while ACTIVATE aims to ensure fairness to every player, mechanical and technical issues may occur that result in a team forfeiting a game or their points and scores ("Failures"), and ACTIVATE is not responsible for Failures, nor is ACTIVATE required to allow a team experiencing a Failure to have another attempt at the game, or part thereof, that they were playing at the time of the Failure, or to award the team with any points in respect thereof; and,
In the event of a dispute, ACTIVATE reserves the right to make a final determination, in its sole and absolute discretion, on any issue related to the AGL, including but not limited to the games played, and how they are organized, and the scoring of points, determination of winners, and awarding of prizes, a player's eligibility, conduct, and/or a team's placement and winning of any prize.

Players who register and participate in a AGL further acknowledge and agree to ACTIVATE monitoring them as they play games in the AGL by watching videos of games being played, and to ACTIVATE reviewing such videos to ensure that all games are played in accordance with the Fair Game Rules, and otherwise in accordance with these Terms and Conditions, and that teams have otherwise legitimately achieved their placement during the AGL.

AGL Structure:

The following outlines the AGL structure, and ACTIVATE reserves the right to amend, modify or alter the structure at any time in its sole and absolute discretion, including to ensure the AGL operates as intended and remains fair and fun. Please note that it is each participant's respective responsibility to ensure that available times have been booked for their respective teams, and failure to book and/or attend the time that has been booked will be deemed a forfeiture. Failure to attempt a game booked in a given week will result in all games to be played that week being forfeited and the deposit will also be forfeited. ACTIVATE recommends you book AGL game times ahead of time; bookings will be based on availability, and first come-first served.

AGL Teams: Each AGL Team includes three (3) to five (5) eligible players, all of whom must be registered to participate in the AGL. Each AGL team may substitute one or more eligible players per day but no more than the amount of registered players on their team. For avoidance of doubt, at least one (1) registered member for an AGL Team must participate each day, and a substitute player may not be used to increase the number of participating team members. Players are solely responsible for ensuring that any and all substitutes that participate on their AGL team meet all eligibility requirements (including ensuring the substitute is not registered as part of another AGL team for that AGL Season (defined below)), and that Substitutions are recorded as participating on the applicable day.

AGL Season: AGL is divided into "Seasons" (or "AGL Seasons", and each a "Season" or "AGL Season") and includes competitions among different "divisions". The number of Divisions will depend on the number of teams that sign up. ACTIVATE aims for 36 terms per division, but the actual number of teams in each division may vary.. Each AGL Season is seven (7) weeks in length, and consists of a "Regular AGL Season", which runs from week one (1) to week five (5); "AGL Playoffs", which is held on week six (6); and "AGL Finals", which are held on week seven (7).

Weekly Rounds: Each week of an AGL Season, registered teams will be provided with a list of eight (8) randomly selected levels they will compete in, and the opposing team(s) they will compete against, and a one-week interval in which to complete each level assigned (each, a "Weekly Round").

Wins and Losses: Teams are provided with three (3) attempts per level to score the highest score they can. When teams compete against one another in a level, the team with the highest score achieved among their attempts for that level is given a "Win". Failure to complete a level will result in a score of zero (0) points for that level.

Regular AGL Season: The Regular AGL Season includes five (5) Weekly Rounds. During the Regular AGL Season, registered teams will compete against a different team for each level assigned. Only the top eighteen (18) teams (i.e., those with the highest number of Wins during the AGL Season), will advance to the AGL Playoffs for that Season.

AGL Playoffs: The AGL Playoffs include one Weekly Round. During the AGL Playoffs, each team will face one other team total. For the Weekly Round of the playoffs, every team will compete against one other team for all of the seven (7) levels assigned in a Weekly Round. Only the top nine (9) teams will advance to the AGL Finals for that Season.

AGL Finals: The AGL Finals are composed of a single Weekly Round. During the AGL Finals, all teams compete against all other teams in all seven (7) levels assigned for the last Weekly Round. The team with the highest overall score wins the AGL Season.

AGL Prizes: Prizes totalling 25,500 ACTIVATE Coins may be awarded in each Division, which prize is to be split between the top (3) three teams (i.e. the teams with the highest final cumulative score in the final round, as determined by ACTIVATE in its sole and absolute discretion) in the respective Division as follows:

Grand prize: 15,000 Coins
2nd place: 7,500 Coins
3rd place: 3,000 Coins

Each prize awarded to a team shall be divided equally among the registered team members. Substitutes do not partake in prizes.

ACTIVATE reserves the right to award a supplemental bonus grand prize to be determined by ACTIVATE in its sole and absolute discretion.

Winner Selection and Confirmation:

Teams eligible to win will be selected by ACTIVATE, in its sole and absolute discretion, based on ACTIVATE's determination of the final cumulative scores in the AGL Finals in the Teams' particular Division.

Each participant of a selected team will be notified within five (5) business days of the close of the respective round, season and/or playoff by email associated with each individual participant's player profile. For a supplemental bonus grand prize only, up to three (3) attempts will be made to contact participants by said email within fifteen (15) business days following the close of the round, etc. If no participant from the selected team replies to the notification within two (2) business days of the third (3rd) notification attempt, or cannot be confirmed a winner as described below, the team may be disqualified and not receive the supplemental bonus grand prize and another team may be selected based on the next highest score in ACTIVATE's sole and absolute discretion. ACTIVATE is not responsible for the failure for any reason whatsoever of a participant to receive notification or for the failure for any reason whatsoever of ACTIVATE to receive a participant's required responses. For clarity, no response is required from the participants except for the supplemental bonus grand prize. No correspondence will be entered into except with participants on a selected team. The selected team will consist of the original team members, and not include any players that served as Substitutions.

Photo, Video and Appearance Release:

ACTIVATE may use and display the names of teams and players participating in the AGL by the player profile names, as well as photos and videos featuring participating teams and players, including, without limitation, interviews featuring such players and teams taken prior to, during, and after the AGL (or an individual AGL Season) commences, for promotional and marketing purposes. Such promotion may be, but is not limited to, ACTIVATE's public displays in participating locations and on its social media pages. By participating in the AGL, or any part thereof, you consent to such use and display. The Release, and right to use, names of teams and players, and photos and videos featuring players and teams, is without financial compensation to the Participant or Substitution. The teams and players do not have a right to, and expressly waive any right to, review or approve any uses of the names of teams and players, and photos and videos.

Contact Information:

Players are solely responsible for ensuring their given name and contact information associate with their player profile is accurate and up to date. ACTIVATE is not responsible for any changes to a player's information, including their email address, mailing address and/or telephone number, or for missed communications arising from inaccurate contact information. ACTIVATE is not responsible for any inaccurate capture of player information. All AGL related information becomes the property of ACTIVATE and no AGL related information will be returned to players. ACTIVATE has no responsibility for lost information or for any failure of the ACTIVATE app or website, for any problems or technical malfunction of any computer network, telephone network or lines, computer systems, servers, access providers, computer equipment, software, failure of any email or other information to be received by ACTIVATE, or any combination thereof. ACTIVATE is not responsible if a player is unable to access any app or website, computer or other device.

SUPPLEMENTAL WAIVER, RELEASE & LIMITATION OF LIABILITY:

To the fullest extent permitted by applicable law, all AGL players on behalf of themselves and any minor that accompanies them to an ACTIVATE facility, and their respective heirs ("Releasors") RELEASE, WAIVE, RELINQUISH, ACQUIT, FOREVER DISCHARGE, COVENANT NOT TO SUE AND TO HOLD HARMLESS ACTIVATE and all their respective shareholders, affiliates, subsidiaries and affiliated businesses and locations, together with their administrators, successors, assigns, representatives, agents, agencies, designees, officers, directors, employees, partners, suppliers and insurers ("Releasees") from and against ANY AND ALL demands, claims, liabilities, damages or cause of action of any kind, that players ever had, now have or might in future have ("Claims"), arising out of, or in connection with participation, attempted participation or inability to participate in the AGL, the administration of the AGL, their use of an ACTIVATE facility, the determination of scores, the selection and confirmation of winners, and the awarding, or receipt, or use, misuse of, or in ability to use of any prize, including, without limitation any and all Claims: (a) relating to any personal injury, death or property damage or loss, (b) based upon any allegation of violation of the right of privacy or publicity, misappropriation, defamation, or violation of any other personal or proprietary right, including without limitation, relating to the use of names of, and photos and videos featuring players and teams (c) based upon any allegation of infringement of copyright, trademark, trade dress, patent, trade secrets, moral rights or any intellectual property right, (d) based upon any allegation of a violation of the laws, rules or regulations relating to personal information and data security; (e) unauthorized human or other intervention in a AGL, technical failures, problems or errors, inaccurate or incorrect capture of information, including with respect to scores, or other errors in the administration of a AGL, AGL materials, and the selection and confirmation of winners; and the foregoing is notwithstanding that any such loss, injury, damage, death or inconvenience may have arisen by reason of the actions, omissions, breaches of any duty or other duty of care (including owing under any applicable occupiers/premises liability legislation), negligence or gross negligence of ACTIVATE, a player, or any others.

THE AGL AND ALL PRIZES AVAILABLE TO BE awarded ARE "as is", "WHERE IS" and without any REPRESENTATIONS, warranty OR CONDITION, except as required by law. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, USE AND ANy RELIANCE ON THE AGL, INCLUDING ANY PRIZE, IS AT A PLAYER'S OWN RISK. THE ACTIVATE AGL AND ALL INFORMATION, CONTENT, MATERIALS AND PRIZE INCLUDED IN OR OTHERWISE MADE AVAILABLE THROUGH THE AGL, INCLUDING THROUGH OR WITH AN ACTIVATE PLAYER ACCOUNT OR PROFILE, ARE PROVIDED BY ACTIVATE ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND (OTHER THAN THESE TERMS AND CONDITIONS), WHETHER EXPRESS OR IMPLIED OR ARISING BY STATUTE, USAGE, TRADE, CUSTOM OR OTHERWISE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ACTIVATE EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF OR RELATING TO ACCURACY, COMPLETENESS, ACCESSIBILITY, TITLE, MERCHANTABLE QUALITY, DURABILITY, PERFORMANCE AND FITNESS FOR A PARTICULAR PURPOSE.

WITHOUT LIMITING THE FOREGOING, ACTIVATE SHALL NOT BE HELD LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES SUFFERED OR INCURRED BY PLAYERS RELATING OR IN ANY WAY CONNECTED TO THE AGL. PLAYERS ARE RESPONSIBLE FOR THEIR OWN SAFETY AND WELL-BEING WHILE IN ACTIVATE'S FACILITIES. ACTIVATE WILL NOT BE LIABLE TO ANY PLAYER OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY LOSS OR DAMAGE ARISING FROM, CONNECTED WITH, OR RELATING TO PARTICIPATION OR THE INABILITY TO PARTICIPATE IN THE AGL, THE USE OR MISUSE OF, OR INABILITY TO ACCESS OR USE ACTIVATE FACILITIES, OR ANY ACT OR OMISSION ON PART OF ACTIVATE, INCLUDING FOR ANY HARM, INCLUDING DEATH, HARM TO PERSONS, PROPERTY, REPUTATION OR GOODWILL, AS WELL AS LOSS OF DATA, UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY OF LAW OR EQUITY), REGARDLESS OF ANY NEGLIGENCE OR OTHER FAULT OR WRONGDOING (INCLUDING WITHOUT LIMITATION GROSS NEGLIGENCE AND FUNDAMENTAL BREACH) BY ACTIVATE OR ANY PERSON FOR WHOM ACTIVATE IS RESPONSIBLE, AND EVEN IF ACTIVATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE BEING INCURRED.

Indemnity:

EACH PLAYER EXPRESSLY AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS the Releasees from, against, and for any and all Claims, loss, demands or actions that may be brought by any of the Releasors or by any other persons arising out of or in consequence of any loss, injury, damage, death or inconvenience to person or property incurred by or in association with a Releasor's attending of an ACTIVATE facility or participating in the ACTIVATE games and activities, including programs such as the AGL. Each player further EXPRESSLY AGREES TO REIMBURSE AND TO MAKE GOOD TO ACTIVATE any costs, including legal costs or expenses, ACTIVATE may incur as a result of any such loss, action, claim or demand.

Intellectual Property:

Participant acknowledges and agrees that ACTIVATE owns all right, title and interest in and to the AGL, games, activities, website (www.playactivate.com), content contained on such website, etc., and all intellectual property rights in or related to any of the foregoing, and agrees not to contest or challenge any of the foregoing or ACTIVATE's ownership thereof.

General Conditions:

By participating in AGL, each participant: (i) acknowledges they have read and understood these Terms, accepts and agrees to be bound by them and all decisions of ACTIVATE, which shall be final and binding, without right of appeal, in all matters relating to AGL and the awarding of prizes; (ii) represents and warrants they comply with these Terms and Conditions and are eligible to enter AGL; and (iii) represents and warrants that there is no legal or contractual restriction barring participation, including, without limitation, any restriction from participant's employer or company.

AGL is subject to all applicable Canadian federal, provincial, territorial, municipal and local laws.

IF, FOR ANY REASON, AGL IS NOT CAPABLE OF RUNNING AS PLANNED, ACTIVATE RESERVES THE RIGHT AT ITS SOLE AND ABSOLUTE DISCRETION TO CANCEL, TERMINATE, MODIFY OR SUSPEND AGL, INCLUDING ANY GAME, OR ANY ROUND, SEASON OR PLAYOFF, AT ANY TIME WITHOUT NOTICE OR OBLIGATION. ACTIVATE RESERVES THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION, TO AMEND OR MODIFY THESE TERMS. ACTIVATE SHALL NOT BE RESPONSIBLE FOR ANY INCORRECT OR INACCURATE INFORMATION, INCLUDING, WITHOUT LIMITATION, ANY TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE ADMINISTRATION OF AGL AND/OR AWARDING OF A PRIZE.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE AGL MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ACTIVATE RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW, AND TO BAN OR DISQUALIFY AN ENTRANT FROM THIS AND FUTURE PROGRAMS.

Except where prohibited, you agree that any and all disputes, Claims and causes of action arising out of, or connected with, AGL or any prize awarded shall be resolved individually, without resort to any form of class-action. All parties irrevocably submit to and consent to the exclusive jurisdiction of the courts located in the province of Manitoba, Canada, for any and all causes of action arising out of or connected with AGL or any prize awarded. Only in the event that the courts of Manitoba refuse to hear such cause of action, then all parties irrevocably submit to and consent to the exclusive jurisdiction of the state and federal courts located in [State], United States, and in any event, without giving effect to any choice of forum or conflict of law rules of any jurisdiction, which would cause the application of the laws of any jurisdiction other than those specified herein. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, your rights and obligations, or the rights and obligations of ACTIVATE in connection with AGL, shall be governed by, and construed in accordance with the laws of the province of the ACTIVATE facility the participant attended at the material time and the Federal laws of Canada, whichever are applicable, without giving effect to any choice of law or conflict of law rules (whether of Canada, the relevant province, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than those specified herein.

AGL is void where prohibited by law.

I confirm that I have read and have had sufficient opportunity to read this entire Agreement, understand it, and IRREVOCABLY AGREE TO BE BOUND BY IT AND ITS TERMS. I confirm that no oral representations, statements or inducements apart from the above written agreement have been made, and I would not rely on any such representations etc. in any event.

I understand that my participation in the AGL is for my entertainment purposes only and entirely at my risk, without any expectations, including regarding receiving any ranking, reward or prize, and ACTIVATE and the other Releasees' responsibility for anything that happens during the AGL at ACTIVATE facilities is limited as much as the law will allow.
